1. Acceptance of Terms
By accessing or using SolicitPro ("Service") you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately stop using the Service. These Terms constitute a legally binding agreement between you and M&M Enterprises LLC ("Company," "we," "us").
2. Description of Service
SolicitPro provides a web and mobile platform for door-to-door sales canvassing, lead management, appointment scheduling, team analytics, and performance tracking for solar and home services organizations. Features may be added, modified, or removed at our sole discretion.
3. Eligibility
You must be at least 18 years old to use SolicitPro. By using the Service you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. Organizations using SolicitPro represent that their use complies with all applicable federal, state, and local laws.
4. Accounts and Security
You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@solicitpro.com of any unauthorized access or breach. We are not liable for losses arising from unauthorized account access resulting from your failure to secure your credentials. Account sharing between multiple individuals is prohibited.
5. Organization Responsibilities
Organization owners and administrators are responsible for:
- Ensuring all users within their organization comply with these Terms
- Complying with applicable door-to-door solicitation laws, permit requirements, and Do Not Knock registries in all operating areas
- Obtaining appropriate consents before collecting and storing homeowner personal information
- Maintaining accurate and lawful use of the platform
6. Acceptable Use
You agree not to:
- Use SolicitPro for any unlawful, fraudulent, or deceptive purpose
- Attempt to gain unauthorized access to another organization's data or any part of the platform
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Upload, transmit, or distribute malicious code, viruses, or harmful content
- Scrape, harvest, or systematically extract data from the platform
- Use the platform in any manner that could damage, disable, or impair our servers or networks
- Harass, threaten, or harm other users
- Misrepresent your identity or organizational affiliation
Violation of this section may result in immediate account termination without refund.
7. Intellectual Property
SolicitPro, including all software, algorithms, user interfaces, trademarks, logos, and content, is the exclusive property of M&M Enterprises LLC and is protected by United States intellectual property laws. These Terms do not grant you any ownership rights. You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without prior written consent.
8. User Data and Privacy
Your use of SolicitPro is governed by our Privacy Policy. You retain ownership of data your organization inputs into the platform. By using the Service you grant M&M Enterprises LLC a limited license to process, store, and display your data solely as necessary to provide the Service. We do not claim ownership of your organization's lead, contact, or activity data.
9. Third-Party Integrations
SolicitPro integrates with third-party services including Google Calendar. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
10. Fees and Payment
Subscription fees are billed in advance on a recurring basis. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, M&M ENTERPRISES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST SALES, MISSED APPOINTMENTS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless M&M Enterprises LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, violation of any applicable law or regulation, or infringement of any third-party rights.
13. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of SolicitPro shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AND M&M ENTERPRISES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.
You may opt out of arbitration within 30 days of first using the Service by sending written notice to support@solicitpro.com with the subject line "Arbitration Opt-Out."
Small claims court actions that qualify are exempt from this arbitration agreement.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Florida.
15. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any conduct we determine to be harmful to the platform or other users. Upon termination your right to use the Service ceases immediately. You may cancel your subscription at any time through your account settings. Termination does not entitle you to a refund of prepaid fees.
16. Modifications
We reserve the right to modify these Terms at any time. We will provide at least 14 days notice of material changes via email or platform notification. Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the updated Terms you must stop using the Service.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and M&M Enterprises LLC regarding the Service and supersede all prior agreements.
